2024 Annual General Meeting – Minutes
The 8th ANNUAL GENERAL MEETING of the VICTORIA ELECTRIC VEHICLE ASSOCIATION was held on Sunday October 20, 2024 1:00 PM via Zoom.
Table of Board members
1. Call to Order 1:10 PM
2. Confirmation of quorum of board members (5/7).
3. The President introduced the board members to the Zoom participants: Outgoing Director
Heather Kellington; David Grove President Emeritus; Julian Sale Director; Ted Davies
Secretary; Maya Gabrovska Treasurer; incoming Vice President (more on him later) Jim
Henshaw.
4. The minutes of the October 2023 AGM were reviewed by the President. Their acceptance was
motioned by David Grove and seconded by Jim Henshaw and carried.
5. President’s Message: The 2023/2024 year has been an interesting ride in the EV and Solar
world. Globally solar is now the cheapest and fastest growing way of making electricity and it
is changing the world for the better as Electrifying Everything is the best path for humanity to
walk down.
Victoria EV Association will do our part to help our fellow citizens and governments find that path despite the “noise” coming out from the sunset industries. To that end VicEVA has participated and submitted our informed and studied policy recommendations to the provincial and federal governments at several points this past year, and many thanks to those who’ve stepped up to make those recommendations as pertinent as possible.
We also continue to populate our YouTube channel with the results of our research and then pass these
onto people who would benefit from knowledge unfettered by fiscal interest in the outcome.
Our weekly newsletter, curated by Jim Henshaw, is simply the best weekly dose of energy
transition goodness flavored by his personality and wit.
Getting out into the public through in person presentations, parades, environmental fairs,
municipal fairs, and a major exposition in Vancouver has given us the feeling that the broad
citizenry is onboard with the better future in store in an electrified world. It is gratifying to see
and a sure sign we are on the correct path, and YES, the good people are winning.
Now none of the above happens without the great work of the board and select other members
efforts- President emeritus David “Bums in Seats” Grove, Vice President Heather Kellington,
Treasurer Maya Gabrovska, Secretary Ted Davies, Director Julian Sale, Social Media maven
Victoria Garry and our Director of Digital Affairs (and Newsletter editor) Jim “half cup”
Henshaw. I, and I’m sure the membership, cannot thank you all enough for the hours and effort
you give so unsparingly.
Funding a pro bono all volunteer organization is a real challenge, and we thank our ongoing and new sponsors and donors for keeping us mostly in the black. We of course have swag, T-shirts window stickers, Zero Emissions facemasks (very handy in flu season) that we think make excellent gifts for you and your loved ones and we guarantee zero emissions delivery. If you like what we do for the mission, and you'd like to make a donation — please give generously as every little bit helps.
6. Financial Report and Budget. Treasurer Maya Gabrovska provided a screen share of the
financial report for 2023-2024 (enclosed). In summary:
a. Our balance in the bank at the start of our year July 31, 2023 was $4,163.57 with the
balance at year end July 31 st , 2024 being $372.50.
b. There were several very generous donations to the Association which is much
appreciated
c. Major expenses were for advertising and promotion of which $3,000 is for ECO Night
as a very big share of what we do; Insurance and on-going server expenses are the
other most significant expenses
d. All-in-all we ended with a net amount of $3,791 in the black.
David Grove made a motion to accept the financial report, seconded by Ted Davies
and carried.
7. Summary of Victoria EV Association activities since 2023 AGM: Glenn Garry described the
engagements and activities of the Association over the past year. See the attached summary.
8. Recognition of Retiring Board Member: Heather Kellington, Vice Present and current director
of VicEVA has submitted her resignation as VP; she will remain on the Board as a Director.
Glenn Garry, David Grove and Jim Henshaw gave their thanks for Heather’s significant
contribution to the Association over many years. Heather’s energy and enthusiasm have been
impressive in her leadership and support. Jim Standen moved; Mike Baker seconded to accept
Heather’s resignation. Carried
9. Addition and Confirmation of Jim Henshaw as Vice President. Glenn Garry spoke in support of
Jim Henshaw taking on the Vice President role. Jim has been extremely active with VicEVA in
communication roles within the Association, in public relations and numerous other activities. His contribution as Vice President will be much appreciated. Gerry Delval moved his election,
Ted Davies seconded. Carried.
10. Sponsorship Update and Acknowledgement: Jim Henshaw thanked our sponsors Motorize,
Shift Energy Group, Salt Spring Island EV Association, Edwards Electric and Clean Air Yard
Care. Jim indicated that our sponsors have been actively helpful on multiple fronts. Jim
indicated that the Board is working to bring in additional sponsors. Sponsor logos in the
newsletter have been updated so members can access their websites easily.
11. Planned Activities for 2024/2025: Glenn Garry and Jim Henshaw highlighted planned activities
for the coming year – see attached slide. A question was raised about face-to-face presentations. Jim Henshaw suggested that these could occur if venues could be found at low cost. Doug Beckett indicated that a local university may be a possible location. Members were invited to input presentations they would like to hear.
New Business
12. Funding of VicEVA Activities: Glenn Garry raised the question of how better to fund our
activities. It is a challenge every year. Does a membership fee make sense? We currently have
no membership fee. Our weekly newsletter goes out to almost 2000 people.
There is concern that implementing a membership fee would significantly lower the membership number.
Another option is to ask for donations. No additional sources of finances were identified in the meeting.
13. Directors’ Insurance – Glenn indicated that directors’ insurance is a significant expense each
year. The approximately $1500 cost is to protect VicEVA directors from being sued.
The Association also pays about $1100/year in liability insurance. Insurance is our second largest
expense. There was some discussion about the risks of being sued and the merits of not
continuing with the insurance. Is there a source of advice on the best course of action on
insurance? David Grove agreed to investigate the issue further and the Board will follow up.
14. Other topics from membership: No further topics were raised
15. Adjournment: Maya Gabrovska moved the meeting be adjourned; seconded by David Grove.
Carried. The meeting was adjourned at 2:03 PM.
